Terms and conditions
These Terms and Conditions (“Terms”) govern access to and use of the Garansure website, platform and related services provided by Jeyjoo Ltd (“Jeyjoo”, “Garansure”, “we”, “us” or “our”), a company registered in England and Wales (Company No. 10123896, VAT No. 198428555).
By accessing our website, requesting a demonstration, accepting an invitation to use the Platform or otherwise using our Services, you agree to be bound by these Terms.
If you are using the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
1. About Garansure
Garansure is a multi-tenant software-as-a-service (SaaS) platform designed to help insurers, managing general agents (MGAs), brokers and other insurance organisations configure insurance products, manage distribution networks, automate workflows and administer policies.
Garansure provides software and technology services only. Garansure is not an insurer, MGA, insurance intermediary, broker, legal adviser, compliance adviser or financial adviser.
2. Definitions
For the purposes of these Terms:
- Platform means the Garansure software platform and related applications, interfaces and services.
- Services means the website, Platform, demo environments, pilot environments, support services and related functionality.
- Tenant means an organisation granted access to the Platform.
- User means an individual authorised by a Tenant to access the Platform.
- Customer Data means information uploaded, entered or processed by a Tenant or User through the Platform.
3. Website use
The website is provided for informational and business purposes. You may browse the website, request information, submit enquiries and request demonstrations of the Platform.
You agree not to use the website in any way that is unlawful, harmful, fraudulent or intended to interfere with the operation of the website or Services.
4. Platform access
Access to the Platform is invitation-only. Tenant organisations are created by Garansure and authorised Users are invited to register through an invitation process.
Users are responsible for maintaining accurate account information and ensuring that access credentials remain confidential.
We reserve the right to refuse, restrict or revoke access to the Platform at our discretion where necessary to protect the Platform, comply with legal obligations or enforce these Terms.
5. Licence to use the Platform
Subject to compliance with these Terms, Garansure grants Tenants and authorised Users a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform for legitimate business purposes.
No ownership rights are transferred to any User or Tenant. All rights not expressly granted remain reserved by Jeyjoo Ltd.
6. Multi-tenant operation
The Platform operates on a multi-tenant basis. Each Tenant is responsible for managing its own users, permissions, roles, products, workflows, integrations and business processes.
Tenant administrators are responsible for ensuring that appropriate access controls are maintained within their organisation.
7. Demo and pilot environments
Garansure may provide demo accounts, trial access or pilot environments for evaluation purposes.
Demo and pilot environments may contain pre-release functionality, experimental features or incomplete functionality and may be modified, restricted, suspended or withdrawn at any time without notice.
No guarantee is provided regarding availability, continuity or suitability of demo or pilot environments for production use.
8. Customer responsibilities
Tenants remain solely responsible for all products, pricing, underwriting rules, policy wording, documentation, communications and business processes configured through the Platform.
Before deploying any configuration into production, Tenants are responsible for validating:
- product configurations;
- quotation and rating outputs;
- underwriting rules;
- policy wording and documents;
- commission calculations;
- customer journeys and workflows;
- regulatory and legal compliance.
Garansure does not verify, approve or certify customer configurations unless expressly agreed in writing.
9. Customer data
Customer Data remains the property of the relevant Tenant or data owner.
By using the Platform, Tenants grant Garansure the right to process Customer Data as necessary to provide, secure, maintain and improve the Services.
Tenants are responsible for ensuring that all Customer Data uploaded to the Platform has been collected and processed lawfully and that all necessary permissions, consents and legal bases have been obtained.
10. Data retention and deletion
Following termination of Services, Customer Data may be exported upon request where reasonably practicable.
Unless otherwise required by law, regulation, security investigations or legitimate operational requirements, Customer Data will normally be deleted within 90 days following termination of access.
Certain audit records, security logs and compliance records may be retained for longer periods where required for security, legal or regulatory purposes.
11. User accounts and security
Users are responsible for maintaining the confidentiality of account credentials and for all activities performed using their accounts.
Where required, Users must enable and maintain multi-factor authentication.
Users must notify Garansure promptly if they become aware of any unauthorised access, security incident or suspected compromise of their account.
12. Acceptable use
You must not:
- attempt to gain unauthorised access to the Platform or related systems;
- circumvent security controls or authentication mechanisms;
- reverse engineer, decompile or attempt to extract source code;
- copy, reproduce or redistribute proprietary components of the Platform;
- upload malicious software, malware or harmful code;
- use the Services in a manner that disrupts normal operation;
- use the Platform for unlawful or fraudulent activities.
13. Third-party services and integrations
The Platform may integrate with third-party systems, APIs, payment providers, signature providers, communication services and other external services.
Garansure is not responsible for the availability, accuracy, security or performance of third-party services.
Failures, delays or inaccuracies caused by third-party providers remain the responsibility of those providers.
14. Intellectual property
All intellectual property rights relating to Garansure, including software, source code, designs, trademarks, branding, content, documentation and platform functionality, remain the exclusive property of Jeyjoo Ltd or its licensors.
Nothing in these Terms transfers ownership of any intellectual property rights to Users or Tenants.
15. Open-source software
Certain components of the Platform may incorporate third-party or open-source software subject to their respective licence terms.
Nothing in these Terms overrides any rights granted under applicable open-source licences.
16. Confidentiality
Both parties agree to treat confidential business, commercial, technical and operational information as confidential and not disclose such information except where required by law or reasonably necessary to provide the Services.
17. Service availability
We aim to provide reliable and secure Services but do not guarantee uninterrupted availability.
Maintenance, upgrades, security updates, infrastructure issues or factors beyond our control may occasionally affect availability.
No service-level agreement (SLA) applies unless separately agreed in writing.
18. Security
Garansure implements reasonable technical and organisational measures designed to protect the confidentiality, integrity and availability of the Platform and Customer Data.
No online system can be guaranteed to be completely secure and users acknowledge the inherent risks associated with internet-based services.
19. Beta and preview features
Certain features may be identified as beta, preview, pilot or experimental functionality.
Such features may be modified, restricted or withdrawn at any time and may be subject to additional limitations.
20. Regulatory responsibility
Garansure provides software functionality only.
Tenants remain solely responsible for:
- regulatory compliance;
- insurance products and pricing;
- underwriting decisions;
- policy wording;
- distribution activities;
- consumer disclosures;
- legal and compliance obligations.
Nothing within the Platform should be interpreted as legal, regulatory, underwriting, compliance or financial advice.
21. Fees and subscriptions
Certain Services may be provided on a paid subscription basis.
Applicable fees, billing arrangements and payment terms will be agreed separately between Jeyjoo Ltd and the relevant Tenant.
Failure to pay agreed fees may result in suspension or termination of Services.
22. Suspension and termination
Garansure may suspend or terminate access to the Services immediately where:
- these Terms are breached;
- security concerns arise;
- fraudulent or abusive activity is suspected;
- required by law or regulation;
- payment obligations are not met.
23. Feedback
Any suggestions, recommendations or feedback provided regarding the Platform may be used by Garansure without restriction or compensation.
24. Disclaimer of warranties
The Services are provided on an “as available” and “as is” basis.
To the fullest extent permitted by law, Garansure disclaims all warranties, representations and guarantees not expressly stated in these Terms.
25. Limitation of liability
To the maximum extent permitted by law, Garansure shall not be liable for any indirect, consequential, incidental, special or punitive losses, including loss of profits, revenue, contracts, business opportunities, goodwill or data.
Where liability cannot be excluded, Garansure’s aggregate liability shall not exceed the total fees paid by the relevant Tenant during the twelve months preceding the event giving rise to the claim.
26. Force majeure
Garansure shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, internet outages, cyberattacks, acts of government, war, labour disputes or failures of third-party infrastructure providers.
27. Changes to the Services
We may modify, improve, replace or discontinue features of the Platform from time to time as part of ongoing product development.
28. Changes to these Terms
We may update these Terms periodically. Updated versions will be published on this website and become effective upon publication unless otherwise stated.
29. Governing law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services.
